Veralto (the “Company”), a global frontrunner in essential water and product quality solutions committed to Safeguarding the World’s Most Vital Resources™, has announced a definitive agreement to acquire Cleanwater1 for $465 million, pending customary closing adjustments. After accounting for estimated tax advantages, the net purchase price is around $452 million. The completion of this transaction is anticipated in the fourth quarter of 2026, subject to standard closing conditions.
Cleanwater1 is a prominent provider of on-site hypochlorite disinfection, solids management, and odor filtration technologies, boasting an installed base of roughly 25,000 units across municipal drinking water, wastewater, and industrial sectors. As a respected industry leader with extensive application knowledge, Cleanwater1’s technologies are crucial for customers’ daily water treatment processes, enhancing operational efficiency, safety, and compliance with regulations.
The technologies offered by Cleanwater1 complement Veralto’s current water treatment offerings and will enable Veralto to expand into adjacent, high-growth water treatment sectors. With clearly defined commercial synergies between Cleanwater1 and Trojan Technologies’ ultraviolet water treatment solutions, Veralto aims to boost Cleanwater1’s growth rate by utilizing Trojan’s established customer relationships, implementing the Veralto Enterprise System (VES), and enhancing Cleanwater1’s recurring revenue over time.
